Terms and Conditions – HUPHEN Electromech

Interpretation

In these Terms:

• “HUPHEN Electromech” / “we / us” means HUPHEN Electromech Pvt. Ltd., a premier transformer making company in India.
• “Customer” / “you” means any individual or business using our services or products.
• “Goods” means transformers, electrical components, and related products supplied by us.
• “Contract” means any agreement made between Huphen Electromech and the Customer for the sale of Goods.

Basis of Sale

• All orders are accepted only after approval by HUPHEN Electromech, the trusted transformer making company in India.
• Any change to these Terms is valid only if confirmed in writing by our authorized team.
• By placing an order, you agree to these Terms and not to any other conditions.

Orders and Specifications

• Quotations are only for reference and can be withdrawn before order confirmation.
• A contract is formed only after we provide written acceptance of your order.
• We may change specifications if needed for safety or compliance, without affecting quality.
• Orders cannot be cancelled unless agreed in writing, and all costs are fully paid.

Pricing

• Prices are as quoted or as per our current price list.
• Prices do not include taxes, duties, or delivery charges unless mentioned.
• Prices may change due to cost increases beyond our control, with prior notice.
• All prices are ex-works, unless stated otherwise.

Payment Terms

• Payment must be made within 30 days of the invoice date, unless agreed otherwise.
• Late payments may be charged 4% monthly interest above the base rate.
• We may request advance payment if there are credit concerns.
• Payments must be made in full, without deductions or adjustments.

Delivery

• Delivery dates are approximate and not guaranteed unless mentioned clearly.
• Risk transfers to the Customer once the Goods are delivered or ready for collection.
• Any short supply will be corrected at our discretion.
• Delays caused by the Customer may result in storage charges.

Title and Risk

• Ownership of Goods remains with HUPHEN Electromech until full payment is received.
• Goods must be stored safely, kept separate, and insured until ownership transfers.
• We reserve the right to recover unpaid Goods if payment is not completed.

Warranty and Liability

• Any defects must be reported within 14 days of delivery.
• Our responsibility is limited to repair, replacement, or refund, as decided by us.
• We are not responsible for indirect or consequential losses.
• Goods are supplied as per specifications, and Customers must check suitability.

Website Use

• Website content is for general information and governed by these Terms.
• Content cannot be copied, reused, or used commercially without permission.
• Huphen Electromech is not liable for accuracy or completeness of website content.

Force Majeure

Neither party is responsible for delays caused by events beyond control, such as strikes, natural disasters, or government actions. During shortages, we may distribute Goods at our discretion.

Termination

We may cancel contracts if the Customer fails to pay, becomes insolvent, or breaks these Terms. All pending payments become immediately payable upon termination.

Governing Law

These Terms are governed by Indian law. All disputes are subject to the jurisdiction of the courts in Nashik, Maharashtra.

Changes

HUPHEN Electromech may update these Terms at any time. Continued use of our website or services means you accept the updated Terms.
